This Data Use Agreement ("Agreement") is between agreenably ("Service Provider") and the User ("Client"), collectively referred to as the "Parties." This Agreement outlines the terms under which agreenably will use, store, and manage the data provided by the Client.
2. Data Collection and Use
Purpose: The Client agrees to provide business data and documents necessary for agreenably to assist in the certification process. agreenably will use this data solely for the purpose of application submission, managing certifications, and providing related services.
Scope and Limitations: The data collected will be limited to what is necessary for the stated purposes. agreenably will not use the data for any other purposes without obtaining prior consent from the Client.
3. Data Storage and Security
Storage and Access: Client data will be stored securely and will be accessible only to authorized agreenably personnel.
Security Measures: agreenably commits to implementing appropriate security measures to protect the data against unauthorized access, alteration, or destruction.
4. Data Sharing and Disclosure
Third-Party Sharing: agreenably will not share the Client's data with third parties, except as required for the certification process or as mandated by law.
Legal Compliance: In cases where legal requirements necessitate data disclosure, agreenably will comply with such legal obligations.
5. Data Retention
Retention Period: Client data will be retained only for as long as necessary to fulfill the purposes for which it was collected.
Data Deletion: Upon termination of services or at the Client’s request, agreenably will delete or anonymize the Client's data, subject to any legal retention requirements.
6. Client Rights

This Agreement may be updated or amended by agreenably, with prior notification to the Client.

SaaS service agreement

1. Introduction
This Software as a Service (SaaS) Agreement is between agreenably ("Service Provider") and the User ("Client"), collectively referred to as the "Parties."
2. Description of Service
agreenably provides a digital platform for managing and streamlining the process of obtaining certifications for small businesses.
3. User Responsibilities
The Client agrees to provide accurate and current information necessary for the completion of certification processes and to comply with applicable laws and regulations in their use of the service.
4. Fees and Payment
Fees for the service are as outlined on the agreenably website or as communicated to the Client. Payment terms are monthly for certification management and variable for recertification (depends on renewal frequency), with late payments incurring a 1% late fee monthly after the 60 day grace period passes.
5. Data Usage and Privacy
Use of Client data will be in accordance with agreenably’s Privacy Policy. The Client retains ownership of their data and grants agreenably the right to use it for providing the services.
6. Service Availability
agreenably aims for 99% uptime but reserves the right to schedule downtime for maintenance, with prior notification to the Client.
7. Support and Maintenance
agreenably will provide customer support and maintenance services as detailed in [insert document or section].
8. Termination and Renewal
This agreement is effective as of [insert date] and will continue until terminated by either party, no notice is required.
9. Liability Limitations and Disclaimers

SaaS service level agreement
SaaS Service Level Agreement (SLA) for agreenably
1. Introduction
This Service Level Agreement (SLA) is a policy governing the use of the agreenably SaaS platform under the terms of the SaaS Service Agreement between agreenably ("Service Provider") and the Client ("Client").
2. Support Services
Support Hours: Customer support will be available 24/7 through email and chat.
Response Time: Support requests will be acknowledged within 24 - 48 hours of receipt.
3. Maintenance Services
Scheduled Maintenance: Routine maintenance will be conducted during non-peak hours, with prior notification to the Client at least 48 hours in advance.
Emergency Maintenance: In case of critical issues, emergency maintenance will be performed immediately with subsequent notification to the Client.
4. Uptime Commitment
Service Uptime: agreenably commits to a 99% uptime service level.
Downtime Reporting: Clients may report downtime incidents, which will be verified and recorded by agreenably.
5. Performance Standards
Issue Resolution: Resolution times will vary based on the severity of the issue:
Critical issues: within 4 hours.
Major issues: within 24 hours.
Minor issues: within 3 business days.
6. Compensation for Non-Compliance
In the event of failure to meet the specified uptime commitment, agreenably will provide service credits to the Client, proportional to the duration and severity of the downtime.
7. Limitations
This SLA does not apply to issues resulting from:
Client's own network or hardware.
Misuse of the service.
Force Majeure events.
8. Review and Amendment
This SLA is subject to periodic review and amendment, with changes communicated to the Client in a timely manner.
9. Termination of Agreement
Either party may terminate this SLA in accordance with the terms of the SaaS Service Agreement.
10. Governing Law
This SLA shall be governed by the laws of Delaware.
